Introduction

Welcome to StupidMonkeys! These Terms of Service govern your use of our website located at stupidmonkeys.io, and all of our desktop, mobile, and web applications (collectively, the "Services"). By accessing these platforms, you agree to these terms.

1. Eligibility

You must be at least 18 years old to use the Services. If you are under the age of majority in your jurisdiction, you must have permission from a parent or legal guardian. By accessing or using the Services, you represent and warrant that you meet these requirements.

2. Wallets, User Accounts & Security

Access to certain Services requires connecting a supported blockchain wallet. You are solely responsible for maintaining the confidentiality and security of your wallet, including private keys and seed phrases. We cannot recover lost access and assume no responsibility for unauthorized access.

You may not share, lease, or transfer your account access. You are responsible for all activity conducted under your wallet, whether or not authorized by you. You may only maintain one active user identity unless explicitly permitted by us.

3. Account Creation & Fees

To participate in the Services, users must create an account by either minting a "Starter" character via blockchain wallet or purchasing an account. Minting a "Starter" character is currently free of charge from the Company, though you are responsible for any applicable blockchain network gas fees. We reserve the right to introduce entry fees or other charges in the future with prior notice.

4. Credit Card Account Purchases

Users may purchase accounts using credit card payments processed through third-party payment providers. By choosing this payment method, you acknowledge and agree that:

• Account purchase prices are subject to change at any time without prior notice;
• All purchases are final and non-refundable;
• Payment processing is handled by third-party providers (such as Stripe) and subject to their terms and policies;
• We reserve the right to modify payment methods, pricing tiers, or discontinue credit card purchases at our sole discretion;
• Currency exchange rates (if applicable) may affect final pricing and are not controlled by us;
• You are responsible for all applicable taxes, fees, and charges imposed by your financial institution or payment provider.

We make no guarantees regarding the availability, processing time, or success of credit card transactions. Failed or declined payments do not entitle you to account access or compensation.

5. Digital Assets & In-Game Items

You may collect or acquire assets, including ERC-1155 tokens and other digital collectibles, via gameplay or marketplace interactions. These assets are purely digital and do not constitute investments, securities, or ownership in the Company.

We reserve the right to charge and enforce royalties on the transfer or sale of any such assets. Asset utility, availability, rarity, or functionality may change at any time, with or without notice.

6. Premium Items & Subscriptions

Users may purchase optional products such as Premium Items, which provides premium access or enhanced features. All such purchases are final and non-refundable. We make no guarantees as to the utility, value, or longevity of these features.

7. Referral Program

StupidMonkeys may offer an optional referral program that allows users to refer new users to the Services in exchange for a fixed, one-time reward. This reward may be based on the referred user's entry fee or purchases made in the shop.

All referral rewards:

• Are paid directly to the referring user's wallet at the time of the qualifying transaction;
• Are non-recurring and do not entitle the referring user to ongoing revenue share, profit participation, or commissions;
• Are subject to change or termination at any time, with or without prior notice;
• Do not create any ongoing contractual relationship between FRD Labs Gaming Studio FZCO and the referring user.

FRD Labs Gaming Studio FZCO reserves the right to withhold, suspend, or permanently disable referral rewards in cases of fraud, abuse, multi-accounting, collusion, or any behavior deemed to manipulate or exploit the referral system. Determination of abuse is at our sole discretion.

Participation in the referral program does not constitute employment, partnership, agency, or any form of business relationship with FRD Labs Gaming Studio FZCO.

8. Skill-Based Wagering

The Services may support skill-based competitive features, including peer-to-peer wagering between consenting users. These contests are not games of chance, and outcomes are determined by performance within the Services.

Users may stake in-game or onchain assets, with winners receiving the prize pool minus a platform fee. All participation is voluntary, and users bear full risk of loss.

9. Beta Disclaimer & Assumption of Risk

The Services are in early beta. As such, you may experience bugs, asset loss, instability, or downtime. You acknowledge that:

• Features may change or be removed;
• Assets may be wiped or rebalanced;
• Access may be suspended or terminated at any time.

You accept full risk and agree not to hold us liable for any harm arising from use.

10. Service Changes & Balancing

We reserve the right to modify or remove any element of the Services, including character stats, item utility, mechanics, or rules, in order to maintain a fair and healthy environment.

We may roll back states or invalidate progress gained through exploits or bugs. No compensation will be provided for such changes.

11. Marketplace

StupidMonkeys may include a peer-to-peer marketplace, where users may list, buy, or sell assets. All such transactions are between users.

We do not control listings, verify ownership, or guarantee delivery. Use of the marketplace is at your own risk. We assume no liability for failed trades, scams, or pricing errors.

12. Acceptable Use & Fair Play

You agree not to:

• Engage in harassment, abuse, or impersonation;
• Exploit bugs or loopholes;
• Circumvent bans or restrictions;
• Violate the letter or spirit of fair competition.

Automated use (using approved agents or similar) is currently permitted but may be restricted or made conditional upon other requirements in future updates. We reserve the right to monitor behavior, investigate suspicious activity, and take enforcement action, including bans or restrictions.

13. User-Generated Content

You may submit names, art, feedback, ideas, or other content. By doing so, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and adapt such content.

You represent that your submissions do not infringe on third-party rights. We may remove any content at our discretion.

14. Intellectual Property

All visuals, code, branding, mechanics, and lore within the Services are the exclusive intellectual property of FRD Labs Gaming Studio FZCO or its licensors. Ownership of NFTs or assets does not grant any commercial rights, licenses, or entitlement to IP usage.

15. Third-Party Services & Integrations

The Services may interface with third-party providers (e.g., wallet tools, L2 infrastructure). We do not control and are not responsible for the functionality, uptime, or privacy policies of these services.

16. Financial Disclaimer

Nothing in the Services constitutes investment advice. No aspect of gameplay or asset ownership should be construed as an expectation of financial return. Digital assets in StupidMonkeys have no intrinsic or guaranteed value.

17. Taxes

You are solely responsible for complying with applicable tax laws related to your activity, including reporting income or gains from asset transfers or rewards.

18. Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF ASSETS, DATA, OR PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF LIABILITY IS IMPOSED DESPITE THESE DISCLAIMERS, OUR MAXIMUM LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE DIRECTLY PAID TO US IN THE PAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS (US$100), WHICHEVER IS LESS.

SOME JURISDICTIONS MAY LIMIT THESE EXCLUSIONS. IF SO, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.

19. No Claims, No Disputes

You agree to release FRD Labs Gaming Studio FZCO from all present and future claims related to your use of the Services. You further waive the right to initiate or participate in any class action, arbitration, or legal proceeding against us in any jurisdiction.

20. Indemnification

You agree to indemnify and hold harmless FRD Labs Gaming Studio FZCO, its officers, affiliates, and agents from any claims, losses, or damages (including legal fees) arising from your use of the Services, violation of these Terms, or breach of any applicable law.

21. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of United Arab Emirates, without regard to conflict of law principles. Any disputes shall be resolved exclusively through informal communication or, if necessary, the federal courts in UAE.

22. Severability

If any provision of these Terms is held invalid, the remainder shall remain in full force. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.

23. Changes to Terms

We may modify these Terms at any time. Updates will be posted on our website. Continued use of the Services after updates constitutes acceptance of the new Terms.
